By registering for a NeverGhost account or using any part of our service, you ("the Customer") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use NeverGhost.
These Terms form a legally binding agreement between you and Tech with Adeola, the company operating NeverGhost, registered in the United Kingdom.
Note: If you are signing up on behalf of a company or organisation, you confirm that you have authority to bind that entity to these Terms.
NeverGhost is an AI-powered outbound calling platform that enables businesses, healthcare providers, and research organisations to automate phone-based communication with their clients and participants. Core features include:
- Booking Confirmations — automated AI calls to confirm, reschedule, or cancel appointments.
- NHS & Healthcare Portal — RTT pathway management, DNA follow-ups, PIFU patient re-engagement, and pre-assessment calls for NHS trusts and healthcare organisations.
- Research Module — AI-conducted phone surveys for academic, commercial, and institutional research organisations.
To use NeverGhost you must:
- Be at least 18 years of age.
- Have the legal capacity to enter into binding contracts in your jurisdiction.
- Be using the service for a legitimate business, healthcare, or research purpose.
- Not be prohibited from using the service under the laws of your country.
NeverGhost is a business-to-business (B2B) service and is not intended for personal or consumer use.
All accounts require manual review and approval by the NeverGhost team before access is granted. We reserve the right to decline any application without providing a reason.
- You are responsible for maintaining the confidentiality of your login credentials.
- You must notify us immediately at hello@techwithadeola.com of any suspected unauthorised access to your account.
- You are responsible for all activity that occurs under your account.
- You must provide accurate and complete information at the time of registration and keep it up to date.
You agree to use NeverGhost solely for lawful purposes and in accordance with these Terms. You must not use NeverGhost to:
- Contact individuals without a lawful basis, such as prior consent or a legitimate business relationship.
- Send harassing, threatening, abusive, deceptive, or otherwise unlawful communications.
- Violate applicable telecommunications regulations, including the UK Privacy and Electronic Communications Regulations (PECR), US Telephone Consumer Protection Act (TCPA), or equivalent legislation in your jurisdiction.
- Conduct unsolicited marketing calls (cold calling) to consumers without explicit consent.
- Attempt to reverse-engineer, scrape, overload, or otherwise abuse the platform or its infrastructure.
- Resell, sublicense, or white-label the service without prior written permission from NeverGhost.
- Use the service for spam, phishing, fraud, or any other deceptive or malicious purpose.
Important: Violations of acceptable use may result in immediate account suspension and may be reported to relevant authorities.
You are solely responsible for ensuring you have the legal right to contact the individuals whose details you upload to NeverGhost. This includes:
- Compliance with UK GDPR, PECR, and any applicable local data protection and telecommunications laws.
- For research users: obtaining valid informed consent from all study participants and securing any required institutional or regulatory ethics approval prior to placing calls.
- Ensuring that contact data is accurate and that individuals have not registered on any applicable suppression lists (e.g. TPS in the UK).
NeverGhost acts as a data processor on your behalf. You remain the data controller and are liable for your data processing decisions.
Each subscription plan includes a monthly AI call allowance:
- Starter: 50 calls per month
- Pro: 150 calls per month
- Business: 300 calls per month
Unused calls do not roll over to the following month. We reserve the right to throttle or suspend accounts that display unusual usage patterns, exceed limits, or use the service in a manner inconsistent with these Terms.
- All subscriptions are billed on a monthly rolling basis.
- A 7-day free trial is included on all plans. A valid payment method is required to start the trial. You will be charged at the end of the trial period unless you cancel beforehand.
- Payments are processed securely by Stripe. We never store card details.
- You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period — you will retain access until that date.
- No refunds are issued for partial billing periods.
- We reserve the right to change pricing with 30 days' notice to existing subscribers.
We aim to maintain high availability of the NeverGhost platform but we do not provide a guaranteed uptime service level agreement (SLA). Factors outside our control — including maintenance windows, third-party infrastructure outages, or force majeure events — may affect availability.
We will endeavour to provide advance notice of scheduled maintenance where possible. We are not liable for any losses, missed appointments, or business disruptions caused by service interruptions.
All intellectual property rights in the NeverGhost platform — including its software, design, trademarks, and content — are owned by Tech with Adeola or its licensors. These rights are protected by copyright, trade mark, and other applicable laws.
- You may not copy, reproduce, distribute, or create derivative works of the platform without our prior written permission.
- You retain full ownership of your own data, including client contact lists, booking records, and research data.
- By uploading content to NeverGhost, you grant us a limited licence to process that content solely for the purpose of providing the service.
NeverGhost is provided "as is" and "as available", without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties including:
- That the service will be uninterrupted, timely, or error-free.
- That AI call outcomes will meet your specific expectations or requirements.
- That all calls will be successfully connected or answered.
- That the service will be compatible with all devices or systems.
To the maximum extent permitted by applicable law, NeverGhost, Tech with Adeola, and its directors, employees, and agents shall not be liable for any:
- Indirect, incidental, special, or consequential losses.
- Loss of revenue, profits, clients, data, or business opportunity.
- Losses arising from reliance on AI-generated call outcomes or summaries.
Our total aggregate liability to you in any calendar month shall not exceed the subscription fees paid by you to NeverGhost in that same month.
Note: Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
Either party may terminate this agreement at any time.
- By you: Cancel your subscription at any time by contacting hello@techwithadeola.com. Access continues until the end of your billing period.
- By us: We may suspend or permanently terminate your account immediately if you breach these Terms, engage in illegal activity, or if we reasonably believe continued access poses a risk to other users, third parties, or the platform.
Upon termination, your right to access the platform ceases. We will retain your data for up to 90 days before deletion, during which time you may request an export.
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Where a dispute arises, we encourage you to contact us first at hello@techwithadeola.com so that we may attempt to resolve it informally before formal proceedings are initiated.
We may update these Terms from time to time to reflect changes in our services, technology, or applicable law. Where changes are material, we will notify registered users by email at least 14 days in advance. The "Last updated" date at the top of this page always reflects the current version.
Continued use of NeverGhost after the effective date of updated Terms constitutes your acceptance of the revised agreement.
